Here is every number on the table, for the NRI who prefers a spreadsheet to a story. If you are reading this from a Dubai high-rise, a Houston suburb or a flat in Slough, you may have seen our ₹32 target for SEPC Ltd (₹5.61) and wondered whether we had mistaken a price target for a phone number. Fair question. A move from ₹5.61 to ₹32 is about 470%  and that kind of figure usually arrives in a WhatsApp forward from an uncle. So we owe you the working. This article shows how we get to ₹32 on an 18-month view, which assumptions carry the weight, and what could move the answer in either direction. Spreadsheets have no opinions. They only ha...

The Pledge Phobia: Why Investors Are Staring at 9% of SEPC and Missing a ₹10,000 Crore Order Book

The Pledge Phobia: Why Investors Are Staring at 9% of SEPC and Missing a ₹10,000 Crore Order Book
A Dubai-backed financial investor, a ₹1,530 crore Abu Dhabi share swap, two SAIL mega-packages and a stock at ₹5.50, yet the market's attention is welded to a single pledge percentage.

Every market has its superstitions. Wall Street has its calendar effects. Dalal Street has the promoter pledge. Show an Indian retail investor the words "pledged shares" and the colour drains from his face faster than a Mumbai local empties at Dadar.

Now apply that reflex to SEPC Ltd (₹5.50). The Chennai-based EPC company has an order book above ₹10,000 crore, two back-to-back packages from SAIL's IISCO plant, a Gulf acquisition in motion and a financial-investor promoter whose pledge figure looks like a horror-film poster. The market has read the poster and skipped the film.

I intend to walk you through the film. It is considerably more interesting than the poster.

1
The Club Nobody Told You About

If promoter holding were a licence to succeed, some of India's most valuable franchises would have shut shop long ago. They have not. They simply run without a promoter in the classical sense.

Company How it runs
HDFC Bank (₹713.20) Professional management under a board-driven governance model.
ICICI Bank (₹1350.10) No promoter group, institutional shareholders, managers in charge.
ITC (₹260.05) No promoter by classification, run by a professional board.
Larsen & Toubro (₹3629.60) Built and steered by managers, not by a founding family's shareholding.
Prime Securities (₹304.10)
Zero promoter holding in recent quarterly filings, owned by the public and institutions.
3i Infotech (₹22.59) Zero promoter holding in recent quarterly filings, a small-cap that shows the pattern is not limited to giants.

Nobody lost sleep over the missing promoter signature on these balance sheets. What these companies had was governance, delivery and access to capital. Ownership percentage and governance quality are two different variables, and Dalal Street keeps handing the same exam paper to both.

SEPC is not HDFC Bank, and I am not pretending otherwise. My point is narrower and sharper. The pledge percentage tells you about the promoter's financing. It tells you nothing about whether a pellet plant gets built at Burnpur.

A pledge is a promoter's conversation with his lender. An order book is the company's conversation with its customer. Only one of the two ever built a steel plant.
2
Who Exactly Is This Promoter?

Mark AB Capital Investment LLC and Mark AB Welfare Trust are a Dubai-based financial investor. They arrived through the 2022 resolution plan under the RBI's stressed-asset framework, brought in rescue capital of about ₹350 crore and took control. This is not a multi-generational industrial family with an EPC legacy to defend.

As of June 2026, the promoter group held 11.67%, down from 18.67% in March, and 79.36% of that holding is pledged. Now do the sum that the headline-readers skip. The pledged block works out to roughly 9.26% of SEPC's total equity. The other 90-odd percent of the company sits outside that arrangement altogether.

A financial investor trimming its stake is not a family heirloom going under the hammer. It is a financial investor behaving like a financial investor. Capital comes in, helps fix the company, and eventually looks for the exit. The only real question is who it hands the keys to.

That is where the board matters. It carries independent directors alongside a Mark AB nominee as chairman. If the nominee goes, the board reconstitutes. Independent directors do not run day-to-day EPC operations, but they can appoint professionals and shepherd a transition. What no board can do is conjure a buyer from thin air, because the asset has to be worth buying. So let us look at the asset.

The Asset: A Backlog Bigger Than the Company
Case File: SEPC and SAIL's Burnpur Expansion
Latest packagePellet Plant BOP including civil and structural works (Package-2), SAIL-IISCO Steel Plant, Burnpur.
Net contract value₹854.57 crore, being ₹951.60 crore gross less ₹97.04 crore of input tax credit passed to SAIL.
Basis and timelineDivisible turnkey, with an execution window of about 32 months as reported.
Earlier SAIL package₹673.32 crore across Coke Oven BOP (₹296.77 crore) and Sinter Plant BOP, same 4.08 MTPA expansion.
Combined IISCO workRoughly ₹1,528 crore in one steel plant.
Consolidated order bookAbove ₹10,000 crore, more than nine times FY26 total income of ₹1,085.8 crore.
LeverageDebt-to-equity of about 0.18x, which leaves room to mobilise.

Read that box twice. SAIL has handed SEPC two major packages inside two months, and a public-sector steel major does not distribute ₹1,500 crore of civil and structural work out of sentiment. Management has also indicated that more SAIL orders could follow.

Here is the arithmetic that should keep the pledge-watchers awake. With the stock at ₹5.50 and a market capitalisation of around ₹1,100 crore, the order book is roughly nine times what the entire company is worth on the exchange. An order book is revenue to be earned, not cash already banked. Even so, a backlog of this scale tells you where the debate belongs, and it is not on one collateral percentage.

4
The Delivery Record, and the Loss That Is Mostly Paperwork

Promises are cheap on Dalal Street. Delivery is not. SEPC grew total income from ₹646.0 crore in FY25 to ₹1,085.8 crore in FY26, a jump of about 68%. EBITDA stood at ₹108.9 crore and net profit at ₹53.5 crore, more than double the previous year.

Q1FY27 carried the momentum forward, with total income of about ₹282 crore, up 40% from ₹202 crore a year earlier. Management has said that the company expects revenue growth of 20% to 30% this year, as reported by NDTV Profit. The quarter closed with a net loss of about ₹11 crore, and that is the number the sceptics photographed and posted.

Here is what they left out of the frame. In the same quarter SEPC wrote off deferred tax assets of ₹24.22 crore that were due to expire by the end of this financial year anyway, a step the company described as prudence. Do the simple sum: strip that one accounting charge and the quarter shows a profit of roughly ₹13 crore. The company cleaned out the accounting attic, and the market mistook the dust for smoke.

Management has also named the next job openly. Overseas project margins are the area to improve, and "strengthening execution and improving project margins" is the stated priority for FY27. A company that names its own homework is usually one that intends to submit it.

The Abu Dhabi Twist Most Pledge-Watchers Skipped

Everyone debating how a new owner might arrive at SEPC has overlooked that the machinery is already running. SEPC's board has approved the acquisition of up to 90% of Avenir International Engineers and Consultants LLC, Abu Dhabi, through a share swap. The consideration is 153 crore new SEPC shares at ₹10 each, valued at ₹1,530 crore, with no cash outflow.

Case File: The Avenir Share Swap
TargetAvenir International Engineers and Consultants LLC, Abu Dhabi, founded 2011, working in oil and gas and civil infrastructure.
StakeUp to 90%, valued on about AED 708 million, or roughly ₹1,530 crore.
ModePreferential allotment of 153 crore SEPC shares at ₹10 each, no cash outflow.
Avenir revenueAED 73.93 million (about ₹171.89 crore) in FY24.
Enabling stepsAuthorised capital raised and borrowing limit lifted to ₹7,500 crore, subject to shareholder approval.
TimelineCompletion targeted by December 2026, subject to shareholder and regulatory approvals.

Notice two things. First, the swap values SEPC's paper at ₹10 a share, almost twice today's ₹5.50 market price. Somebody across the table is happy to take SEPC stock at nearly double what Dalal Street currently offers.

Second, recall how a new promoter typically arrives: a block deal, a preferential allotment, or a lender-led process. The second route is already in motion. SEPC's equity base is roughly 200 crore shares today, going by a market capitalisation of about ₹1,100 crore at ₹5.50. On that simple arithmetic, 153 crore new shares would leave Avenir's shareholders holding roughly two-fifths of the enlarged company, and every existing holder, pledged or not, with a smaller slice of a larger Gulf-linked engineering group.

The market keeps asking who will rescue SEPC's ownership. The company is quietly answering with a deal.

For the NRI investor in Dubai, Abu Dhabi, Houston or Hyderabad, this is a rare shape: an Indian small-cap with a Dubai-based promoter and a next growth leg in Abu Dhabi. Avenir also brings engineering and design credentials in the UAE energy space, the kind of pedigree that is slow to build and quick to buy.

6
The ₹154 Crore That Walked Out of the Locker

Receivables stuck behind an attachment are like a skilled engineer standing outside a locked gate: all the capability, none of the access. SEPC's own disclosure on the 30 September Madras High Court settlement, ₹149.5 crore in all, records that the attachment on roughly ₹154 crore of trade receivables has been lifted.

For an EPC company, that matters more than any press release adjective. Working capital is the oxygen of the business, and freeing receivables is a cleaner breath. The next filings will show how quickly that release turns into cash.

7
What X Is Saying, and What the Tape Is Saying

On X, where every stock is either a multibagger or a scam by lunchtime, the SEPC conversation has been unusually civilised. Stock trackers and regional accounts celebrated the order book crossing ₹10,000 crore and the roughly 11% rally on the SAIL announcement. West Bengal accounts, naturally, focused on what Burnpur's expansion means for local jobs.

The sober voices added a recurring refrain: track delivery, not headline size. I agree with them, and I note that the delivery numbers in Section 4 are already moving in the right direction. Momentum traders, meanwhile, are watching the ₹5.5 to ₹5.7 zone like hawks at a pigeon fair.

Now the tape. The stock trades near ₹5.50 against a 52-week range of ₹4.65 to ₹13.73, and it is roughly 45% below where it began 2026, even as the order book hit a record. When the price falls while the backlog climbs, the gap is the whole thesis. Either the business has broken, or the market is staring at the wrong number. The FY26 numbers lean firmly toward the second explanation.

8
The Scorecard: Five Boxes That Turn Doubt into a Re-rating

Over the next two to four quarters, the stock does not need applause. It needs ticks in five boxes. Every one of them can be checked in filings, not on social media.

The test What a pass looks like
Order conversion Quarterly revenue keeps climbing on existing orders, with the SAIL packages hitting their milestones.
Cash and receivables Operating cash flow follows reported profit, receivable days fall and the ₹154 crore release shows up as cash.
Margins and interest cover Project margins improve, overseas drag fades and finance costs shrink relative to operating profit.
The pledge itself The pledged share count falls. A shrinking promoter holding is not de-pledging, so watch the pledged number, not the holding.
Ownership and management The Avenir transaction completes and professional management continues smoothly through any change at the top.

The SumanSpeaks Verdict
What the market is staring at What the filings are showing
A promoter pledge equal to roughly 9.26% of total equity. A consolidated order book above ₹10,000 crore, over nine times FY26 income.
A promoter holding of 11.67% from a financial investor. An Abu Dhabi share swap already approved by the board, plus debt-to-equity of about 0.18x.
A Q1FY27 net loss of about ₹11 crore. Revenue up 40%, FY26 profit of ₹53.5 crore and a ₹24.22 crore deferred-tax charge behind the loss.

Here is my position without the padding. SEPC Ltd is a special situation where the story is bigger than the stereotype. The pledge is real, and it deserves a place in the valuation. It does not deserve the whole valuation.

I am not declaring a turnaround complete, because a turnaround is declared by cash flow, not by columnists. What I am saying is that a company with a record backlog, a visible delivery trend, a freed-up receivable and a Gulf acquisition in motion has earned a more sophisticated debate than a single percentage can host. The pledge does not have to be forgotten. It has to become smaller than the story.

Dalal Street prices fear fast and delivery slowly. For SEPC, the fear is already in the price. The delivery is not.
