Swan Corp’s FSRU Story: What Shareholders Need to Know

There’s been a fair amount of noise around Swan Corp Ltd (₹395.95) and its Floating Storage and Regasification Unit (FSRU). Some of it is informed, some of it isn’t. For shareholders and observers trying to separate signal from static, here’s a clear, fact-based walkthrough of what actually happened.

1

The Name Change: Swan Energy Ltd to Swan Corp Ltd

First, a quick housekeeping note. The listed company has rebranded from Swan Energy Ltd to Swan Corp Ltd. You’ll see both names in circulation, but official filings and market data now reflect Swan Corp Ltd (formerly Swan Energy Ltd). The rebrand signals a broader corporate vision, but the core investment story remains anchored to the Jafrabad LNG terminal and the FSRU asset.

2

The BOTAŞ Deal: USD 399 Million

In August 2024, Swan announced it would sell its stake in Triumph Offshore Pvt Ltd (TOPL)—the special purpose vehicle that owns the FSRU “Vasant One”—to Turkey’s state gas company BOTAŞ.

Key terms:

  • Deal value: USD 399 million
  • Structure: Payment in multiple tranches over an unspecified period
  • Rationale: Strategic capital reallocation and risk mitigation

This wasn’t a distressed sale. It was a deliberate move to unlock value from an asset that had been generating interim revenue through charters (to clients in Hong Kong, Ghana, and Turkey) while waiting for the Jafrabad terminal to reach commissioning readiness.

3

The IFFCO Exit: ₹440 Crore

Before the BOTAŞ transaction could proceed cleanly, Swan needed to consolidate full ownership of TOPL. At the time of the BOTAŞ announcement, IFFCO held a 49% stake in TOPL.

What happened:

  • In June 2024, Swan’s board approved the acquisition of IFFCO’s 49% stake for ₹440 crore in cash.
  • Importantly, the acquisition was completed before the FSRU divestment to BOTAŞ and was funded independently of the USD 399 million sale consideration.
The ₹440 crore IFFCO buyout was a separate, earlier transaction funded by Swan's own resources. The USD 399 million BOTAŞ proceeds are arriving in tranches with no granular public allocation specified yet.
4

Use of Proceeds: What’s Public, What’s Not

Public disclosures describe the BOTAŞ deal as part of strategic capital reallocation, but they do not provide a detailed, line-by-line breakdown of how the entire USD 399 million will be deployed.

What is clear:

  • The ₹440 crore IFFCO buyout was a separate, earlier transaction.
  • The BOTAŞ consideration is coming in tranches, not as a lump sum.
  • Beyond general corporate purposes and the IFFCO exit, there is no granular public allocation of the full USD 399 million.

For shareholders, this means the company retains flexibility in how it deploys the capital—whether for debt reduction, Jafrabad capex, or other strategic priorities.

5

The “Fresh FSRU” Question: Partnership, Not Purchase

There’s been speculation that Swan is negotiating to buy a “Fresh FSRU” for Jafrabad. The public record tells a different story.

For the Jafrabad LNG terminal, Swan has signed a Heads of Agreement with AG&P Terminals and Logistics (Singapore) to form joint ventures:

JV Structure:

  • LNG Supply JV: Swan holds 51%, AG&P holds 49%
  • Vessel JV (FSRU/FSU for Jafrabad): AG&P holds 51%, Swan holds 49%

Under the Heads of Agreement announced by Swan, the proposed Vessel JV is expected to be owned 51% by AG&P and 49% by Swan. The arrangement remains subject to due diligence and definitive agreements between the parties.

6

The Bottom Line for Shareholders

Let’s distill this into three clean points:

  1. ₹440 crore was paid to IFFCO to consolidate 100% ownership of TOPL before the BOTAŞ sale.
  2. USD 399 million is the agreed sale value to BOTAŞ, payable in tranches; full deployment of proceeds has not been itemized publicly.
  3. The Jafrabad FSRU will come via an AG&P-led JV (AG&P 51%, Swan 49%), not a direct Swan purchase.
7

The SumanSpeaks Verdict

Swan’s approach has been pragmatic:

  • The FSRU generated interim charter revenue while Jafrabad was under construction.
  • The BOTAŞ deal unlocked capital and reduced execution risk.
  • The AG&P partnership brings in a seasoned LNG player to co-own and operate the FSRU for Jafrabad.

The next major value trigger is commissioning of the Jafrabad terminal. Until that happens and cash flows begin, the market will likely continue to discount the stock relative to ambition. But the strategic moves—capital unlock, risk sharing, and partnership—have been sound.

With the FSRU monetised and the Jafrabad LNG terminal nearing commissioning, Swan's investment thesis is shifting from asset creation to execution. The key variables now are timely commissioning, LNG demand, customer offtake and sustained terminal utilisation.

For shareholders, the question isn’t whether Swan has made mistakes. It’s whether the company can now execute on what’s left. The pieces are in place. The clock is ticking.
